Welcome to pagestrip.com, a digital publishing service offered at www.pagestrip.com (the “Service”, as more fully described below). The Service is owned and operated by ALICE INTERACTIVE GmbH, an Austrian limited liability company (the “Company”).

PLEASE READ CAREFULLY THE FOLLOWING TERMS AND CONDITIONS (the “Terms” or Term of Use”, including our Privacy Policy attached hereto), because they constitute a binding agreement between you, the individual or the entity accessing and using the Service, and the Company. By using the Service or signing up for an account, you express your acceptance of these Terms. If you do not agree to these Terms, you may not access or use the Service.

Introduction

The Service is a digital publishing service offered through the URL www.pagestrip.com (the “Website”) that allows you to create and publish digital publications by use of the downloadable application “pagestrip for Mac”, and to share digital publications with individual recipients over the Website or through native iOS Applications for the iPad. References to “you” are references to any person using our Service or a representative of an entity that’s a customer of the Service. You’re a “Member” according to this agreement.

These Terms are effective when you sign up for the Website and continue as long as you use the Service. Clicking the button and entering your username means that you’ve officially “signed” the Terms. If you signed up for the Website on behalf of a company or other entity, you represent and warrant that you have the authority to accept these Terms on their behalf.

Changes to the Terms

We reserve the right to change these Terms from time to time for a number of reasons including, without limitations, for commercial reasons, to comply with law and regulations, to comply with instructions, guidance or recommendations from a regulatory body, or for customer service reasons. At any time, the then-current version of the Terms of Use is available for viewing on our Website.

Where we wish to make changes to the Terms of Use, we will give you 30 days prior notice of such changes (i) via email, to the email address you have previously supplied us with, if any, or (ii) on the relevant page of our Website, or any other device through which you access our Services, and we invite you to accept the new Terms of Use, by clicking “yes” or “I accept”, checking a “tick box” or any other similar method of confirmation. Changes to the Terms of Use will take effect within thirty days of their publication.

If any modification is unacceptable to you, your only recourse is by clicking “no” or “I don’t accept”, checking a “tick box” or any other similar method of disagreement. Your continued use of the Services following the notification or, as the case may be, such thirty days period will be deemed binding acceptance of the modification and you will be bound by the new Terms.

Account

Eligibility.

In order to use the Service, you must:

(i) be at least eighteen (18) years old and able to enter into contracts;

(ii) complete the registration process;

(iii) agree to the Terms;

(iv) provide true, complete, and up to date contact information; and

(v) not be convicted sex offender.

By using the Service, you represent and warrant that you meet all the requirements listed above, and that you won’t use the Service in a way that violates any law or regulations.

Account and Password.

You’re responsible for keeping your account name and password confidential. You’re also responsible for any account that you have access to. You’ll immediately notify us of any use of your accounts by a third party. We’re not responsible for any losses due to stolen or hacked passwords. We don’t have access to your current password, and for security reasons, we may only reset your password.

Account Disputes

We don’t know the inner workings of your organization or the nature of your personal relationships, and we don't arbitrate disputes over who owns an account. You won't request access to or information about an account that's not yours, and you'll resolve any account-related disputes directly with the other party. We decide who owns an account based on the content of the publications in that account, and if multiple people or entities are identified in the content, then we'll rely on the contact information listed for that account.

Closing Your Account

You may terminate your account through your account page, or by contacting the Company via email at: Imprint. The Company may require you to verify your identity by sending us additional information, as a condition for terminating your account. Following the termination of your account, you will no longer be able to access the Service.

Notwithstanding any remedies that may be available to the Company under any applicable law, the Company may temporarily or permanently deny, limit, suspend, or terminate your user account, prohibit you from accessing the Service, remove your content and take technical and legal measures to keep you off the Service, if the Company determines in its sole discretion that you: (i) abused your rights to use the Service; (ii) breached the Terms; (iii) violated any applicable law, rule, or regulation; (iv) performed any act or omission which is harmful or likely to be harmful to us, or any other third party, including other users or providers of the Service.

If you don’t log in to your account for 2 or more months, we may treat your account as “inactive” and permanently delete the account and all data associated with it.

Payment

Monthly Plans

Our charges for monthly plans are posted on our Website and may be changed from time to time. Payments are due for any month on the same date, or the closest date in that month, to the day you signed up with us and made your first monthly payment (the "Pay Date").

Credit Cards

As long as you’re a Member or have an outstanding balance with us, you'll provide us with valid credit card information and authorize us to deduct the monthly charges against that credit card. You’ll replace the information for any credit card that expires with information for a different valid credit card. Anyone using a credit card represents and warrants that he or she is authorized to use that credit card, and that any and all charges may be billed to that credit card and won’t be rejected. If, for some reason, we’re unable to process your credit card order, we’ll try to contact you by email and suspend your account until your payment can be processed.

Refunds

We’ll give you a refund for a prepaid month if we stop providing our Services to you for a reason that's not laid out in these Terms. You won’t be entitled to a refund from us under any other circumstances.

Changes

We may change our fees at any time by posting a new pricing structure to our Website and/or sending you a notification by email.

Rights

Proprietary Rights Owned by Us

All rights, title and interest in and to the Service, including any intellectual property rights, whether registered or not, and any goodwill associated therewith, are owned by, or licensed to Company. These Terms do not grant you any rights to patents, copyrights, trademarks (whether registered or unregistered), trade names, trade secrets, domain names or any other rights, functions or licenses with respect to the Service and you may not use the Service for any other purpose without Company's prior, express written authorization. (the “Copyright Policy”).

Proprietary Rights Owned by You

You represent and warrant that you either own or have permission to use all of the material in your publications. You retain ownership of the materials you upload, store, administrate, edit, deliver, make available and distribute content to the Service (the “Contributed Content”). We may use or disclose your materials only as we describe in these Terms and our Privacy Policy.

For content that is covered by intellectual property rights, like text, photos and videos (the “IP content”), you expressly grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any IP content that you publish with pagestrip.com (the “IP License”). This IP License ends when you delete your IP content or your account.

When you delete IP content, it is deleted in a manner similar to emptying the recycle bin on a computer. However, you understand that removed content may persist in backup copies for a reasonable period of time (but will not be available to others).

Protecting Other People's Rights

We respect other people's rights, and expect you to do the same.

You will not publish content or take any action on the Website that infringes or violates someone else's rights or otherwise violates the law.

We can remove any content or information you post on the Website if we believe that it violates this Statement or our policies.

If we remove your content for infringing someone else's copyright, and you believe we removed it by mistake, we will provide you with an opportunity to appeal.

If you repeatedly infringe other people's intellectual property rights, we will disable your account when appropriate.

You will not use our copyrights or trademarks (including pagestrip.com, the pagestrip Logo), or any confusingly similar marks, except as expressly our prior written permission.

You will not post anyone's identification documents or financial information on the Website.

Privacy Policy

We may use and disclose your information according to our Privacy Policy. Our Privacy Policy will be treated as part of these Terms.

Right to Review Publications

We may view, copy, and internally distribute content from your publications and account to create algorithms and programs (the “Tools") that help us spot problem accounts. We use these Tools to find Members who violate these Terms or laws.

Advertising and commercial content

We may integrate advertising into publications published over our “free plan”only, as we see advertising as an essential part of publications.

You give us permission to add advertising pages between articles or pages of your publication. This means that you permit a business or other entity to pay us to display their advertisement within your publication, without any compensation to you.

You let us review your content/publication and use provided “content tags”, such as “Sport” to provide advertisements in the context of your content.

We do not give your content or information to advertisers without your consent.

You understand that we may not always identify paid services and communications as such.

Rules and Abuse

General Rules

We may disable your account when you violate one/more of the following:

i.) Violence and Threats We remove content and may escalate to law enforcement when we perceive a genuine risk of physical harm, or a direct threat to public safety. You may not credibly threaten others, or organize acts of real-world violence. Organizations with a record of terrorist or violent criminal activity are not allowed to maintain a presence on our Website.

ii.) Self-Harm We remove any promotion or encouragement of self-mutilation, eating disorders or hard drug abuse.

iii.) Bullying and Harassment pagestrip.com does not tolerate bullying or harassment. We allow publishers, editors, companies & individuals to speak freely on matters and people of public interest and companies but take action on all reports of abusive behavior directed at private individuals and companies.

iv.) Hate Speech pagestrip.com does not permit hate speech within publications, but distinguishes between serious and humorous speech. We do not tolerate content to attack others based on their race, ethnicity, national origin, religion, sex, gender, sexual orientation, disability or medical condition.

v.) Graphic Content Sometimes, publications involve graphic content that is of public interest or concern, such as human rights abuses or acts of terrorism. In many instances, when people publish this type of content, it is to condemn it. However, graphic images shared for sadistic effect or to celebrate or glorify violence have no place on our Website. When people publish any content, we expect that they will publish in a responsible manner. That includes choosing carefully the audience for the content. For graphic videos, people should warn their audience about the nature of the content in the video so that their audience can make an informed choice about whether to watch it.

vi.) Nudity and Pornography pagestrip.com has a strict policy against publishing pornographic content and any explicitly sexual content where a minor is involved. We aspire to respect people’s right to publish content of fine arts which contain nudity.

vii.) Intellectual Property Before publishing content on the Website, please be sure you have the right to do so. We ask that you respect copyrights, trademarks, and other legal rights.

viii.) Security We take the safety of our members seriously and work to prevent attempts to compromise their privacy or security, including those that use fraud or deception. Additionally, we ask that you respect our members by not contacting them for commercial purposes without their consent.

Reporting Abuse

If you think anyone is violating any of these Terms, please notify us immediately. If you received spam you think came from a pagestrip.com user, we want to hear about it. Please report it to our team. If you think anyone has posted material that violates any copyrights, then you may notify us according to our Copyright Policy.

Bandwidth Abuse/Throttling

You may only use our bandwidth for your pagestrip.com publications. We provide image hosting only for your publications, so you may not host images on our servers for anything other than your publications (like a website). We may throttle your connection and bandwidth at our discretion.

Compliance with Laws

You represent and warrant that your use of the Service will comply with all applicable laws and regulations. You are responsible for determining whether our Services are suitable for you to use in light of any regulations like HIPAA, GLB, EU Data Privacy Laws, or other laws. If you're subject to regulations (like HIPAA) and you use our Service, then we won't be liable if our Service doesn't meet those requirements. If you’re located in the European Economic Area (EEA) or publish to or from the EEA, you represent and warrant that you:

(i) Will clearly describe in writing how you plan to use any data collected, including for your use of pagestrip.com. You’ll get express consent to transfer data to pagestrip.com as part of this process, and you’ll otherwise comply with whatever privacy policy you have posted.

(ii) Have complied, and will comply, with all regulations, as well as data protection, electronic communication, and privacy laws that apply to the countries where you’re publishing through pagestrip.com.

(iii) Have collected, stored, used, and transferred all data relating to any individual in compliance with all data protection laws and regulations. You have the necessary permission to allow pagestrip.com to receive and process data and provide content to any individual on your behalf.

(iv) Agree to indemnify and hold us harmless from any losses, including attorney fees that result from your breach of any part of these warranties.

Liability

Limitation of Liability

To the maximum extent permitted by law, you assume full responsibility for any loss that results from your use of the Website and the Services. Under no circumstances shall we or any of our employees or representatives be liable for any indirect, punitive, special, or consequential damages, even if they’re based on negligence or we have been advised of the possibility of those damages. Our total liability for all claims made about the Service in any month will be no more than what you paid us for the Service the month before.

No Warranties

Since people use pagestrip.com for a variety of reasons, we can’t guarantee that it will meet your specific needs. But we hope it does!

WE ARE PROVIDING PAGESTRIP.COM AS IS WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT PAGESTRIP.COM WILL ALWAYS BE SAFE, SECURE OR ERROR-FREE OR THAT PAGESTRIP.COM WILL ALWAYS FUNCTION WITHOUT DISRUPTIONS, DELAYS OR IMPERFECTIONS. PAGESTRIP.COM IS NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, AND YOU RELEASE US, OUR DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES. WE WILL NOT BE LIABLE TO YOU FOR ANY LOST PROFITS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT, OR INCIDENTAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS STATEMENT OR PAGESTRIP.COM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF THIS STATEMENT OR PAGESTRIP.COM WILL NOT EXCEED THE GREATER OF ONE HUNDRED EUROS (EUR100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH CASES, PAGESTRIP.COM LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

Indemnity

You agree to indemnify and hold us, and our directors, officers, employees and representatives, harmless from any and all losses (including, but not limited to, attorney fees) resulting from any claims you make that aren’t permitted under these Terms due to a "Limitation of Liability" or other provision. You also agree to indemnify and hold us harmless from any and all losses resulting from claims of third-parties, including, but not limited to, attorney fees, that result in whole or in part from allegations of conduct by you that, if true, would constitute a violation by you, or any individual using your password, of any the provisions of this Terms of Use.

Attorney Fees

In the event we file an action against you claiming you breached these Terms and we prevail, we’re entitled to recover reasonable attorney’s fees in addition to any damages or other relief which we may be awarded.

Liquidated Damages

In some cases, a breach of these Terms could cause damages, but proving the actual damages would likely be impossible. These cases will result in the corresponding liquidated damages, which are a reasonable pre-estimate of the damages:

Equitable Relief

If you violate these Terms then we may seek injunctive relief (meaning we may request a court order to stop you) or other equitable relief.

Subpoena Fees

If we have to provide information in response to a subpoena related to your account, then we may charge you for our costs. These fees may include attorney and employee time spent retrieving the records, preparing documents, and participating in a deposition.

We and our team aren’t responsible for the behavior of any advertisers, linked websites, or other Members.

Miscellaneous

Choice of Law and Jurisdiction

The Terms of Use shall be governed by and construed in accordance with the laws of Austria without regard to principles of conflict of law, except for ay matters that are mandatorily governed by laws of the laws of any other jurisdiction, in which case the laws of such other jurisdiction shall apply. Each party hereto agrees that it shall bring any action or proceeding in respect of any claim arising out of or related to this Terms or the Services contained or contemplated by this Terms, exclusively to the courts of Vienna, Austria, with proper jurisdiction.

Force Majeure

We shall not be held liable for any delays or failure in performance of any part of the Service, from any cause beyond our control. This includes, but is not limited to, acts of God, acts of civil or military authority, then current laws and regulations and changes thereto, embargoes, epidemics, war, terrorist acts, riots, fires, earthquakes, nuclear accidents, floods, strikes, power blackouts, volcanic action, unusually severe weather conditions, and acts of hackers and other illegal activities of third parties.

Survival

Even if this Agreement is terminated, the following sections will continue to apply: Proprietary Rights Owned by Us, Proprietary Rights Owned by You, Compliance with Laws, Limitation of Liability, No Warranties, Indemnity, Choice of Law, Severability, and Entire Agreement.

Severability

The provisions of this Terms shall be deemed severable and the invalidity or unenforceability of any provision shall not affect the validity or enforceability of the other provisions hereof. If any provision of this Terms, or the application thereof to any person or any circumstance, is invalid or unenforceable, (a) a suitable and equitable provision shall be substituted therefor in order to carry out, so far as may be valid and enforceable, the intent and purpose of such invalid or unenforceable provision and (b) the remainder of this Terms and the application of such provision to other persons or circumstances shall not be affected by such invalidity or unenforceability, nor shall such invalidity or unenforceability affect the validity or enforceability of such provision, or the application thereof, in any other jurisdiction.

General

These Terms along with the Privacy Policy posted on the Website constitute the entire agreement between you and pagestrip.com with respect to the access and use of Service and supersede any and all agreements, negotiations and understandings, whether written or oral, about the Service.

In case of any inconsistencies between versions of these Terms in different languages, the English version shall prevail.
